Article 14-1. State registration of amendments and additions to the constituent documents of a legal entity that is not a private business entity, as well as a joint-stock company, and regulations on their branches (representative offices) The Law on State Registration of Legal Entities and Registration of Branches and Representative Offices

In case of amendments and additions to the constituent documents of a legal entity that is not a private business entity, as well as a joint-stock company, the regulations on their branches (representative offices), the legal entity, branch (representative office) shall submit an application in the form established by the Ministry of Justice of the Republic of Kazakhstan within one month from the date of the decision on amendments and amendments to the charter (regulations).

The state registration of amendments and additions to the constituent documents of a legal entity, with the exception of political parties and religious associations, is carried out on the basis of an electronic application submitted through the e-government web portal, as well as other informatization facilities, in accordance with the procedure determined by the Ministry of Justice of the Republic of Kazakhstan.

The application shall be accompanied by a decision or an extract from the decision of the authorized body of the legal entity on amendments and additions to the constituent documents, as well as the text of the amendments and additions to the constituent documents of a legal entity that is not a private business entity, as well as a joint-stock company, regulations on their branches (representative offices), stamped by the legal entity (if applicable if available), except for submitting an electronic application.

The state registration of amendments and additions to the constituent documents of a legal entity that is not a private business entity, as well as a joint-stock company, and the regulations on their branches (representative offices) is carried out in cases of a change in location, adoption of a new version of the charter (regulations).

For the state registration of amendments and additions to the constituent documents of a legal entity that is not a private business entity, as well as a joint-stock company, regulations on their branches (representative offices) that do not entail state (accounting) re-registration, the registration authority must submit:

1) an application in the form prescribed by the Ministry of Justice of the Republic of Kazakhstan;

2) a decision or an extract from the decision of the authorized body of the legal entity on amendments and additions to the constituent documents of the legal entity, the regulations on the branch (representative office), sealed with the seal of the legal entity (if any);

3) an electronic constituent document with amendments and additions, or the text of the amendments and additions made to the constituent documents of a legal entity that is not a private business entity, branch (representative office), sealed with the seal of the legal entity.

Political parties and religious associations shall submit two copies of the constituent documents with amendments and additions, or the text of the amendments and additions to the constituent documents of political parties and religious associations.;

3-1) a notarized charter (regulation) with amendments and additions, or the text of the amendments and additions to the charter of the joint-stock company, the regulations on the branch (representative office);

4) excluded by the Law of the Republic of Kazakhstan dated 07/14/2022 No. 141-VII (effective ten calendar days after the date of its first official publication);

5) a document confirming the actual location (in case of a change of location).

Refusal of state registration of amendments and additions to the constituent documents of a legal entity that is not a private business entity, as well as a joint-stock company, and regulations on their branches (representative offices) is carried out in the following cases::

1) violations of the procedure for making amendments and additions to the constituent documents of a legal entity, the regulations on a branch (representative office), inconsistencies of the constituent documents (regulations) with the law of the Republic of Kazakhstan;

2) the existence of judicial acts and resolutions (prohibitions, arrests) of bailiffs and law enforcement agencies.

In case of refusal of state registration of amendments and additions to the constituent documents of a legal entity that is not a private business entity, as well as a joint-stock company, the regulations on their branches (representative offices), the registering authority, within the time limits provided for in Article 9 of this Law, issues a reasoned refusal containing a reference to the inconsistency of the submitted documents with the requirements of the legislative the Act of the Republic of Kazakhstan.

The provisions of this article apply to a branch of a foreign legal entity whose business is the provision of financial services.
