Article 46. State registration of rights during the reorganization of a legal entity of the Law on State Registration of Rights to Immovable Property
1. When reorganizing a legal entity, a transfer certificate or a separation balance sheet are submitted respectively to register the rights of the legal successor.
The rights of a creditor under an obligation transferred to another person as a result of universal succession are subject to registration without the consent of the pledgor, including the debtor.
2. In cases where the rights of the reorganized legal entity to immovable property are not registered and are not considered to have arisen without registration, the right to registration passes to the legal successor. In order to register the rights of the legal successor in these cases, title documents for immovable property are required, which are the basis for the right of the reorganized legal entity.
3. In case of reorganization of a legal entity, the date of registration of legal entities for the purpose of certifying the fact of reorganization is recognized as the date when the legal successor has the right to immovable property.
