Article 7. Constituent documents of Legal entities of the Law on State Registration of Legal Entities and Registration of Branches and Representative Offices
The constituent documents are submitted to the registration body, unless otherwise provided by this Law or other laws of the Republic of Kazakhstan.
The constituent documents of legal entities are:
1) for an institution – a regulation (charter) approved by the owner(s);
2) for a foundation, consumer cooperative, association of legal entities, association of individual entrepreneurs, association of individual entrepreneurs and legal entities in the form of an association (union) – the charter approved by the founders and the founding agreement (if the number of owners (founders) is more than one);
3) for public associations, religious associations and joint–stock companies - articles of association.
The founding documents of business partnerships, joint-stock companies that are established by one person (one participant), and other types of legal entities, except those specified in part two of this Article of the Law, are the charter (regulations) and a written decision on the establishment of a legal entity (decision of the sole founder).
In cases stipulated by the legislative acts of the Republic of Kazakhstan, legal entities that are non-profit organizations may act on the basis of the general regulations on organizations of this type or a standard charter, the content of which is determined by the relevant authorized state body.
Legal entities belonging to small, medium and large enterprises may carry out their activities on the basis of a standard charter, the content of which is determined by the Ministry of Justice of the Republic of Kazakhstan.
If the founders of a legal entity have decided to carry out their activities on the basis of a standard charter, then the charter is not required to be submitted during the state registration of the legal entity.
