Limited Liability Company "ABK ...", BIN....11, represented by the director U-A-a Zhaksylykovich, acting on the basis of the Charter, hereinafter referred to as the "Supplier", on the one hand, and Zh-A-, hereinafter referred to as the "Buyer", on the other hand, jointly referred to as the "Parties", have concluded this agreement. Agreement on the following:
1. Subject of the Agreement
1.1. The Parties, by mutual agreement, terminate the supply agreement concluded on August 21, 2025.
1.2. The Supplier acknowledges the debt owed to the Buyer in the total amount
4,462,020 (four million four hundred sixty two thousand twenty) tenge, which consists of:
· for the product — 2,932,020 (two million nine hundred thirty two thousand twenty) tenge;
· for the installation of materials — 1,230,000 (one million two hundred and thirty thousand) tenge;
· representative expenses — 300,000 (three hundred thousand) tenge.
1.2. From the moment of signing this Agreement, the supply contract is considered terminated, and the Parties have no obligations to each other other than those provided for in this Agreement.
2. The procedure for performing calculations
2.1. The Supplier undertakes to refund to the Buyer the amount of 4,462,020 (four million four hundred sixty two thousand twenty) tenge within 6 (six) months according to the schedule provided for in clause 2.2. of this agreement.
2.2. The Supplier undertakes to refund to the Buyer the amount stipulated in clause 2.1. of this Agreement within 6 (six) months according to the following schedule:
· until December 1, 2025, the amount of 743,670 tenge;
· until January 1, 2026, the amount of 743,670 tenge;
· until February 1, 2026, the amount of 743,670 tenge;
· until March 1, 2026, the amount of 743,670 tenge;
· until April 1, 2026, the amount of 743,670 tenge;
· until May 1, 2026, the amount of 743,670 tenge.
2.3. The specified amount is subject to refund by the Supplier within 6 (six) months from the date of signing this Agreement, in cash.
3. Responsibility of the parties
3.1. In case of violation of the terms of refund provided for in clause 2.2 of this Agreement, the Supplier pays the Buyer a penalty in the amount of 1% of the unpaid amount for each day of delay, but not more than 10% of the amount.
3.2. In the event that the Supplier violates the terms of refund established by clause 2.2. of this Agreement, and the delay is more than 10 (ten) calendar days, the Buyer has the right to apply to the court for compulsory recovery of the amount owed, as well as expenses related to the consideration of the case, without additional notification to the Supplier.
4. Other conditions
4.1. This Agreement comes into force from the moment of its signing by the Parties.4.2. The Agreement is drawn up in two copies having equal legal force, one for each of the Parties.4.3. All disputes arising from this Agreement are subject to settlement through negotiations, and in case of failure to reach an agreement — in court in accordance with the legislation of the Republic of Kazakhstan.
