Article 6. The Charter of the production cooperative of the Law On the Production Cooperative
1. The charter of a production cooperative must contain information about:
1) the company name of the cooperative;
2) the location of the cooperative;
3) the procedure for admission, withdrawal and exclusion of members of the production cooperative, their rights and obligations;
4) the procedure for the formation of regulations on the composition and competence of the cooperative's management and control bodies and their decision-making, including on issues that are decided upon unanimously or by a qualified majority of votes;
5) the amount of the share of each member of the production cooperative, the composition and procedure for making a property contribution by members of the production cooperative and their responsibility for violating the obligation to make a contribution;
6) the nature and procedure of the personal labor participation of the members of the cooperative in its activities and their responsibility for violating the obligations of personal labor participation;
7) the relationship between the cooperative and its members, the executive body of the cooperative and the labor collective of employees;
8) the order of distribution of the cooperative's net income and losses;
9) the procedure for the reorganization and liquidation of the cooperative.
The charter of a production cooperative may contain other provisions that do not contradict this Law.
2. The company name of the cooperative must contain its name, as well as the words "production cooperative"..
3. The Charter is approved by the general meeting of the founders.
The Charter must be approved unanimously.
Amendments to the charter are introduced by a decision of the general meeting of the cooperative members in accordance with the procedure provided for in Article 15 of this Law.
The Charter is signed by the chairman of the board (chairman) of the cooperative.
4. The charter of a production cooperative is submitted to state and other official bodies, as well as at the request of third parties who have contractual relations with the cooperative or wish to enter into such relations with it.
