Article 5. The founding agreement of the production cooperative of the Law on the Production Cooperative
1. The founding agreement of a production cooperative must contain:
1) the decision to establish a production cooperative, its brand name and location;
2) the personal composition of the cooperative members, indicating their surnames, first names, patronymics, date and place of birth, as well as place of residence;
3) the procedure for establishing a cooperative;
4) information on the composition and amount of property contributions transferred by the founders to the ownership of the cooperative;
5) the decision on the appointment (election) of officials of the cooperative, whose activities are necessary for the establishment and registration of the cooperative;
6) determination of the powers of these persons in connection with the resolution of issues of the formation of the cooperative and the organization of its work;
7) approval of the cooperative's charter;
8) the order of distribution of net income and losses;
9) the procedure for the withdrawal of the founders from the cooperative.
Upon the decision of the founders, other conditions that do not contradict this Law may be included in the founding agreement of a production cooperative.
2. The founding agreement is signed by all the founders.
3. The founding agreement of a production cooperative is included in the documents constituting a commercial secret and is subject to presentation to state and other official bodies, as well as to third parties only by decision of the executive body of the cooperative or in cases established by legislative acts.
