In accordance with paragraph 4 of Article 10 of the Constitutional Law of the Republic of Kazakhstan "On the Astana International Financial Center", I HEREBY DECREE:
1. To create a Management Council for the Astana International Financial Center.
2. To approve the attached Regulations and the composition of the Board of Management of the Astana International Financial Center.
3. This Decree shall enter into force from the date of signing.

Regulations on the Board of Management of the Astana International Financial Center1. General provisions
1. The Management Council of the Astana International Financial Center (hereinafter referred to as the Council) is a permanent collegial body headed by the President of the Republic of Kazakhstan. The Council is the supreme governing body of the Astana International Financial Center (hereinafter referred to as the Center).
2. In its activities, the Council is guided by the Constitution of the Republic of Kazakhstan, the Constitutional Law of the Republic of Kazakhstan "On the Astana International Financial Center" and these Regulations.
3. The working body of the Council is the Joint-Stock Company "Administration of the Astana International Financial Center" (hereinafter referred to as the Working Body).
2. Tasks of the Council
4. The main objectives of the Council are:
1) defining the strategic directions of the Center's development;
2) assistance in creating favorable conditions for the formation of a leading international financial services center.
3. Functions of the Council
5. To fulfill its tasks, the Council:
1) excluded by Decree of the President of the Republic of Kazakhstan dated 20.10.2017 No. 567; 2) excluded by Decree of the President of the Republic of Kazakhstan dated 20.10.2017 No. 567; 3) excluded by Decree of the President of the Republic of Kazakhstan dated 20.10.2017 No. 567; 4) excluded by Decree of the President of the Republic of Kazakhstan dated 20.10.2017 No. 567; 5) excluded by Decree of the President of the Republic of Kazakhstan dated 20.10.2017 No. 567; 6) excluded by Decree of the President of the Republic of Kazakhstan RK dated 20.10.2017 No. 567;
7) adopt acts of the Center in the form of resolutions on issues within its competence, within the limits provided for in paragraph 3 of Article 4 of the Constitutional Law of the Republic of Kazakhstan "On the Astana International Financial Center".;
8) defines the structure of the Center's organs;
9) appoints the leadership of the Committee of the Center for Regulation of Financial Services;
10) decides on the establishment of other bodies for the purposes of the Center, determining their form, competence and functions, as well as their abolition or reorganization;
11) determines the powers of the general meeting of shareholders (the sole shareholder) of the Center's Administration, the Board of Directors and the Management Board, the quantitative composition of the Board of Directors and the management Board, the procedure for their election and the term of office of the members, as well as the procedure for determining the amount of remuneration for members of the Board of Directors and the Management Board;
12) determines the composition of the court, the procedure for the appointment and dismissal of judges and other court officials from office, qualification requirements for judges and court officials, and other issues related to the functioning of the court.;
13) defines the basis for the formation and functioning of the International Arbitration Center;
14) approves the annual report on the activities of the Center;
15) considers other issues within its competence and in order to improve the activities of the Center.

5-1. Foreign members of the Council promote the interests of the Center abroad and develop relations with government agencies and organizations of foreign countries, international financial centers, international organizations, as well as business communities, individuals and legal entities in foreign countries.

4. Council rights
6. In accordance with its tasks, the Council has the right to, in accordance with the procedure established by the legislation of the Republic of Kazakhstan and within its competence:
1) develop recommendations and make suggestions;
2) to make appropriate decisions on the issues under consideration;
3) interact with central and local executive bodies, as well as with other state bodies and organizations of the Republic of Kazakhstan, invite and listen to their representatives, request and receive necessary materials, hold consultations;
4) involve entrepreneurs, specialists, scientists and independent experts to participate in the discussion of problematic issues;
5) to organize temporary and permanent expert and working groups.
5. Organization of the Council's activities
7. The Chairman of the Council is the President of the Republic of Kazakhstan. The Deputy Chairman is the Prime Minister of the Republic of Kazakhstan.
During the absence of the Chairman, his functions are performed by a deputy.
8. The Secretary of the Council is appointed by the Council.
9. Meetings of the Council are conducted by the Chairman of the Council or, on his instructions, by the Deputy Chairman of the Council.
10. Meetings of the Council are considered valid if they are attended by at least two thirds of the total number of Council members.
11. The members of the Council participate in its meetings without the right of replacement.
12. The Council meets at least twice a year. By decision of the Chairman of the Council, if necessary, extraordinary meetings of the Council may be held, including in absentia or via audio and video conferencing.
13. Decisions of the Council are made by a simple majority of votes of the total number of Council members present at the meeting. In case of equality of votes on the issue under discussion, the chairman's vote is decisive.
14. In case of disagreement with the adopted decision, a member of the Council has the right to express his/her dissenting opinion.
15. Following the results of the meetings of the Council, decisions are made, formalized by the minutes.
6. The working body of the Council
16. The Council's working body:
1) collects proposals for consideration by the Council, forms proposals for consideration by the Council, submitted by government agencies and other organizations;
2) formulates the draft agenda of the Council meetings;
3) organizes the preparation of materials for the meetings of the Council, as well as draft protocol decisions;
4) monitors the implementation of the Council's decisions;
5) requests information from government agencies and other organizations necessary to fulfill the tasks of the Council;
6) notify the members of the Council of the place, time and agenda of the Council meetings and provide them with the necessary materials in a timely manner.
